Year 1: what you actually pay
Year 1 has two required line items (paid to WyomingLLC and the state) plus up to three optional add-ons. Nothing else is hidden in the price.

Year 2 and beyond: recurring cost
Year 2+ is intentionally minimal. WyomingLLC does not push bundled compliance subscriptions like doola Total Compliance ($1,999/year). You pay the Wyoming state, your registered agent, and optionally a small add-on for IRS Form 5472.

Typical year 2+ recurring cost is about $160 plus the optional Form 5472 add-on. Everything else is optional and depends on your business model.
The Wyoming License Tax explained
The Wyoming annual report fee is technically the "License Tax", governed by Wyoming Statutes Section 17-29-209 and related provisions. It scales with assets located in Wyoming, not total assets.

For 99% of non-resident-owned Wyoming LLCs, the fee is the $60 minimum. Your inventory in California Amazon warehouses, your customers in Brazil, your bank account at Mercury (which is in San Francisco, not Wyoming) all do NOT count as Wyoming assets for the License Tax. Only physical assets located within Wyoming state borders count.
5-year cost comparison (the real math)
For a single-member non-resident LLC, all else equal, this is what each option totals over a 5-year hold including formation, state fees, registered agent renewal, and basic compliance (Form 5472 filing).
- WyomingLLC Wyoming: $297 service + Wyoming state fee + ($60 annual report + $100 RA + $99 5472) × 4 years = approximately $1,037 over 5 years.
- Delaware LLC (general): $297 service + $90 state filing + ($300 franchise + $100 RA + $99 5472) × 4 years = approximately $1,987 over 5 years. Delaware costs about $950 more, almost entirely because of the franchise tax.
- doola Total Compliance: $297 formation + $100 state + ($1,999/year) × 4 = approximately $8,393 over 5 years. The Total Compliance bundle includes bookkeeping you may not need.
- Firstbase fully-loaded: $399 formation + ($1,713+) × 4 = approximately $7,250+ over 5 years if you buy all unbundled add-ons.
- Stripe Atlas (Delaware only): $500 formation + $300/year DE franchise tax × 4 = approximately $1,700 over 5 years. Wyoming is not an option through Atlas.
- Northwest registered agent (DIY): $39 formation + state + EIN ($200 add-on) + bank intros (none) + ($125/yr RA) × 4 = approximately $1,140 over 5 years. Cheaper year 1 if you are a US resident; non-residents pay more in add-ons because Northwest does not introduce you to Mercury or Relay.

What is in the $297 service fee
- Wyoming LLC formation. Articles of Organization filed with the Wyoming Secretary of State within 24 hours.
- Wyoming registered agent for year 1. Required by Wyoming law (Section 17-28-101). Our agent address appears on public filings, not yours.
- Custom operating agreement, tailored to single-member or multi-member structure, with Wyoming-specific charging-order language under Section 17-29-503.
- IRS Form SS-4 filing for your EIN. We file by fax (the only method that works for non-residents without SSN). 8 to 10 business days for the IRS to return your CP575 letter.
- Direct introductions to Mercury, Relay, and Wise Business with country-specific prep packets.
- Document delivery as searchable PDFs (Articles, operating agreement, CP575, registered agent appointment).

Common cost questions
Why do you not list the Wyoming state fee amount? Because the state fee can change with Wyoming legislative updates, and we want our quoted total to always be accurate. The filing fee is paid directly to the state; we show you the current amount during intake.
Are there hidden fees? No. Your year 1 invoice is the $297 service fee plus the Wyoming state fee. Optional add-ons (ITIN, Form 5472, annual report filing) are clearly priced and only billed if you opt in.
Do banks charge anything? Mercury and Relay are $0/month with no minimum balance. Wise Business is $0/month with a one-time $31 setup fee. Stripe is per-transaction (2.9% + $0.30 on US card payments). No bank charges hit your monthly burn.
What about sales tax? If you have nexus in states where you sell (FBA inventory creates physical nexus), you need to register and collect. TaxJar (~$19/month) or Avalara (custom pricing) automate this. Most early-stage founders only register in 1 to 3 states.
Is bookkeeping included? No. Most founders use Wave (free) or QuickBooks Online ($30/month and up). We refer to partner CPAs if you want done-for-you bookkeeping.
Refund policy
Before we file your Articles of Organization with the Wyoming SoS, you receive a full refund if you cancel. After filing, the Wyoming state fee is non-refundable (it went to the state), but we refund the service fee minus the registered-agent first-year cost and any filing-related costs already incurred. Typically a partial refund of 50 to 70% of the service fee is possible up until EIN issuance. After your EIN is issued, all included services have been delivered and refunds are no longer available.
Add-ons (ITIN, Form 5472 filing) are refundable if we have not yet submitted the associated form to the IRS.
